ABOUT SOME QUESTIONS OF INITIATIVE STAGE IN THE PROCESS OF SHAREHOLDER'S GENERAL MEETING

Abstract

The article presents the notion and the content of an initiative stage in the process of shareholder's general meeting. Some questions of doing acts at this stage, such as bringing in suggestions to agenda of shareholder's meeting and candidates for electing in organs of joint-stock company, changing of proposed suggestions, supplementary conditions to candidates in organs of joint-stock company, are investigated. Also the questions about a subject authorized for convoking a shareholder's meeting in a joint-stock company, where the quantity of owners of voting shares is less than 50, and for defining a place of shareholder's general meeting if the decision about shareholder's general meeting is adopted, are discussed. The author pays attention to insufficient law regulation and uncertain judicial practice in situations indicated in the article.
